GXG Markets First Quote (fka GXG Markets OTC) and GXG Markets Main Quote (fka GXG Markets MTF) are unregulated markets while the GXG Official List (or GXG regulated Market) is an EU regulated market. GXG Markets Main Quote is more advanced than GXG Markets First Quote and, as such, is more attractive to investors. The GXG Official List provides the highest level of transparency. GXG Markets listings are very fast.

VINTRY PLC finds the GXG Markets Main Quote segment to be ideally suited for smaller startup or early stage companies, or just for companies that want fast access to the capital markets. GXG Markets First Quote does not require audited financial statements, while GXG Markets Main Quote does require audited financial statements, although VINTRY PLC recommends that companies serious about going public should be audited. 

VINTRY PLC recommends the GXG Official List (EU Regulated Market) for companies that are serious about their public markets listing. An IPO on the GXG Official list (regulated market) segment is still faster and less burdensome than any other stock exchange. A listing on the GXG Official list allows a company to dual list on the Frankfurt Stock Exchange.

GXG Markets First Quote is designed for smaller or start-up companies, and provides the opportunity for quality companies to have their shares traded on a public marketplace with a stock price for their shares and a market capitalization (stock price x total outstanding shares in existence). Public listings on GXG Markets First Quote are extremely fast, allowing companies to achieve a listing in only about 4 weeks time. Information and share purchases for companies listed on the OTC is restricted to professional or sophisticated investors and existing shareholders without a prospectus. This limited circulation allows companies to conduct further fundraisings through a private placing of shares, without the need to produce a public offer document or prospectus. With a listing on GXG Markets First Quote and an approved prospectus, companies can offer their shares for sale to the general public in a public offering.

GXG Markets Main Quote is a multilateral trading marketplace designed for smaller or start-up companies, and provides the opportunity for quality companies to have their shares traded on a public marketplace with a stock price for their shares and a market capitalization (stock price x total outstanding shares in existence). Companies are required to comply with UK GAAP (VINTRY PLC recommends IFRS) but are not required to issue a prospectus in order to gain admission and, as such, the cost of obtaining a public listing is significantly reduced when compared to other stock exchanges. GXG Markets Main Quote offers a more visible quotation than GXG Markets OTC. This means that companies can be seen by, and can attract investment from, the widest pool of potential investors. An additional benefit is that stockbrokers, where their regulatory permissions allow, can advise and recommend stocks on the GXG MTF to their clients whereas on the First Quote, this is not possible. Public listings on GXG Markets Main Quote are extremely fast, allowing companies to achieve a listing in only about 4 to 5 weeks time. With a listing on GXG Markets Main Quote and an approved prospectus, companies may offer their shares for sale to the general public in a public offering.

GXG Markets Official List (EU Regulated Market)

GXG Markets Official List (fka GXG Regulated Market) is an EU regulated market, which means it has a higher standard of both listing and ongoing reporting rules and requirements. In addition to the prospectus requirement, companies must produce audited financials in compliance with IFRS reporting standards on an ongoing basis. To conduct a listing/IPO on the GXG Markets Official List, companies must engage a designated GXG Sponsor.

A listing on GXG Markets Official List allows the company to dual list on the Frankfurt Stock Exchange.

VINTRY PLC is an official GXG Advisor and is also one of the very few that is also an official designated GXG Sponsor which is required for companies seeking to conduct an IPO on the GXG Markets Official List.

Companies seeking to enter the GXG Markets Official List must prepare a prospectus and gain approval from the securities regulators and must provide audited financials under IFRS. The prospectus will be reviewed by the Danish FSA who are responsible for the final decision on the approval of the prospectus and subsequent admittance on the GXG Markets Official List. Admission to the GXG Markets Official List gives companies the opportunity to benefit from investment by both non-qualfied private investors as well as institutions who run self-administered pension funds or ISAs, where rules often preclude investment outside regulated markets. Trading on all GXG markets is handled through Tellus, the proprietary trading platform owned and operated by GXG Markets.
